1. General
The following conditions are valid for all orders, contracts and deliveries from the online shop.
Our online services are non-binding and subject to change without notice. The offer is only for purchasers that use the products exclusively in their own professional, commercial, governmental or official work. A sale to consumers does not take place.
We reserve the right to modify the colours and designs of items as well as for technical improvement.
2. Order
We deliver only within the EU. You order with us by placing items in the shopping cart, entering your customer and shipping data, specifying your e-mail address (so that we can inform you via e-mail about your order and send your invoice to you), checking your order and finally clicking on "Commit to buy". If you have set up a customer account, your order is saved for you in the order history. There you can see which items you ordered when. If you do not have a customer account, your order will not be saved and can therefore not be recalled after the order process has been completed. As a rule you receive an order confirmation by e-mail promptly after the order was placed. Please diligently save all documentation and messages that you receive from us. The contract of sale becomes binding once you receive our confirmation e-mail.
Please ensure that the e-mail address provided by you for processing the order is correct so that you can receive e-mails sent by us under this address. In particular, if you are using SPAM filters, make sure that all e-mails sent from us can be delivered.
3. Software
In so far as software is included in the scope of delivery, you are not granted the exclusive right to use the delivered software along with its documentation. It is provided for use on the delivery item it is intended for. Using the software on more than one system is prohibited. You may duplicate, edit or translate the software or reverse engineer the object code into source code merely to the legally permissible extent (§§ 69 a ff. UrhG "Copyright law"). You are obligated not to remove manufacturer specifications – especially copyright notations – or to change them without our prior explicit consent. All other rights to the software and the documentation including copies remain with us or with the software supplier. Issuing subordinate licences is not permitted.
4. Conclusion of the Contract
The presentation of the products in our online shop is not a legally binding offer but a non-binding online catalogue. By clicking on the "Commit to buy" button, you place a binding order for the products that are placed in the shopping cart. The confirmation of the receipt of the order is usually done promptly after the order is sent and does not yet represent an acceptance of a contract. After the order confirmation you will receive the invoice for your order by e-mail. We accept your offer with the sending of the invoice to the e-mail address provided by you. The conclusion of the contract is done exclusively in German and English.
5. Delivery
In case an item can exceptionally no longer be shipped, we will promptly inform about that and promptly reimburse already received compensatory measures. For used second-hand goods we reserve the prior sale.
If partial deliveries are necessary for a quicker handling, you will not have any additional costs of course.
Unless there are any other terms specified in the item description / shopping cart, the shipment of the products in Germany is made within 3 – 10 workdays; for international shipments within 3 to 10 workdays, on the day after your payment is received.
6. Retention of Title
In cases in which we make delivery before payment, we retain the rights to the delivered product until the owed purchase price has been paid in full.
7. Liability
Faults may creep in in our online shop. We request that this be excused and cannot accept any liability for that, unfortunately.
8. Price / Shipping
The prices are subject to change and are valid as of Amtzell nett/nett.
As of a shopping cart value of EUR 200.00 (nett), the delivery within Germany and in the EU is free of shipping costs. Up to a shopping cart value of EUR 199.99, the shipping costs are a blanket EUR 8.00 within Germany and a blanket EUR 27.00 in the EU per product in the shopping cart. If a product is in the shopping cart more than once, then the blanket shipping costs for the total number of this product remains at EUR 8.00 within Germany and respectively EUR 27.00 for delivery within the EU. The total sum of the shipping costs is displayed respectively in the shopping cart.
Shipping insurance of the products is provided only upon explicit wish of the customer and needs to be agreed upon extra.
Some products can be delivered only via carrier; a corresponding note can be found directly with the product in our online shop. Product labelled with "shipping" will be delivered to your address by a shipping agency or other service provider. Products that are transported by a shipping agency are delivered "free kerbside", that is to the public kerbside closest to the delivery address, unless something else was agreed upon.
The delivery time for deliveries by shipping agencies within Germany usually takes 3-10 workdays as of the receipt of your payment. For delivery by a shipping agency we need your telephone number where we can reach you during the day in order to arrange the delivery time. Please report transport damage promptly.
9. Payment
The due date for payment is 14 days nett after the invoice date. In case of default of payments, we are authorised to demand interest for delay to the amount of 9 % above the respective bank rate of the Deutsche Bundesbank, plus value added tax. A cost share to the amount of at least € 2.50 is calculated for every reminder.
Please always also provide the customer and invoice number with your bank transfers. Thus we can clearly assign the payment to your customer account.
10. Liability for Defects
Despite comprehensive checks, it cannot be ruled out completely that defects may occur on our products on occasion. In such a case, we will initiate as part of our supplementary performance, at our discretion, within 12 months first of all a free repair (rework) or the delivery of fault-free products (subsequent delivery). If this measure proves unsuccessful, you have the choice to rescind the contract of sale (rendering it null and void) or to reduce the purchase price.
Depending on availability, we also offer second-hand goods for sale in our online shop. These are identified as "used". Please note that when purchasing second-hand goods no guarantees are given and that warranty is excluded. The warranty exclusion is not valid for hidden defects and not in cases of fraudulent concealment.
11. Online Arbitration
ONLINE ARBITRATION FOR CORPORATIONS AND CONSUMERS
Online arbitration (Article 14(1) ODR Regulation): The European Commission provides a platform for online arbitration at ec.europa.eu/consumers/odr/.
We do not, however, participate in a dispute settlement procedure at a consumer arbitration board.
12. Applicable Legislation, Court of Jurisdiction and Place of Performance
All legal relationships of the Parties are subject to the laws of Federal Republic of Germany except for the laws about the international purchase of movable goods. The place of execution and jurisdiction is the headquarters of FrigorTec GmbH.
